Client Engagement Contract

This B2B Sales Appointment Setting Service Provider Agreement (the "Agreement") is entered into between PipeLinear (the "PipeLinear") and you (the "Client").

Services: PipeLinear agrees to provide cold calling, cold email, and LinkedIn outreach services to the Client for the purpose of lead qualification and appointment setting confirmation. PipeLinear will customize scripts and templates to ensure alignment with the Client's branding and preferences. Generally, PipeLinear does not request approval before beginning outreach.

Fees and Payment: The Client agrees to pay PipeLinear $289 or $499 per successful meeting (decided ahead of time), billed only after the meeting is booked and confirmed that the prospect successfully attended. Successful meetings are those where the client accepts the proposal submitted by our team, the meeting is confirmed as booked in our client's calendar, and either the Client or the prospect confirms the meeting was attended. We understand that not all sales meetings go as expected. However, the process explained above is the criteria PipeLinear uses to determine if a meeting should be billed. We cannot guarantee the quality of all sales meetings. Payments are auto processed through PipeLinear's Stripe platform. Late payments or invoices will incur an additional $25 fee as a line item included on the invoice. A $1 upfront payment will be billed to validate payment details. The Client acknowledges that once a meeting proposal is approved, the meeting is successfully booked, and there is confirmation that the prospect attended the call the payment is due regardless of their perception of the meeting's qualification.

Term and Termination: The service is cancelable at any time with no fixed duration or automatic renewals. There are no hidden fees, hourly fees, or monthly retainers.

Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of this engagement.

Indemnification: The Client agrees to indemnify and hold PipeLinear harmless from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or in connection with the Client's use of PipeLinear's services.

Limitation of Liability: The liability of PipeLinear under this Agreement shall be limited to the total amount paid by the Client to PipeLinear under this Agreement.

Non-Solicitation: The Client agrees not to solicit or hire any employees or contractors of PipeLinear for a period of 12 months following the termination of this Agreement.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Delaware, United States.

Use of Incentives or Digital Gift Cards: PipeLinear frequently uses eGift cards to incentivize prospects to join sales meetings, reply to emails, or take any other desired action.

Acceptance: By clicking "accept" during PipeLinear's onboarding form, the parties indicate their acceptance and agreement to the terms and conditions outlined in this Agreement.
